The short version
These Terms are the ground rules between Tree Guy Digital LLC (“we,” “us”) and the tree service company we work for (“you”), in plain English with no fine print.
The key points: You start with a 90-day agreement. Then your package renews automatically each calendar quarter until you cancel with at least 30 days’ notice. You pay ad spend directly to Google or Meta. We don’t guarantee results.
You accept these Terms, and confirm you can accept them for your company, when you sign a proposal or Service Agreement, check the box agreeing to them, or pay us. Our Privacy Policy and Cancellation & Refund Policy are part of these Terms. Tree Guy Connect (treeguyconnect.com) has its own terms.
Who we work with
We work only with tree service companies that are registered with their state and carry liability insurance. Keep both current, and tell us right away if either lapses.
We serve no more than two tree service companies per local market, and we’ll agree on your market at onboarding. We’ll add a third only with the written OK of the existing clients there. This is a cap, not an exclusive territory.
Our services
Our packages, called The Growth System, start at $500/month. Each one builds on the last:
- The Ground Guy: Google Business Profile management, website management (hosting, updates and small changes), SEO, Tree Guy University and Tree Guy Connect.
- The Climber: adds Google Ads management (Local Services Ads and Performance Max) for up to $2,000/month in ad spend.
- The Foreman: adds a keyword Search campaign, with no limit on the ad spend we manage.
- The Boss: adds Facebook and Instagram ads, with no limit on the ad spend we manage.
Where provided, packages also include lead-management tools like a CRM, a call-tracking number, missed-call text-back and review requests. Tree Guy University is included as training becomes available, and Tree Guy Connect while we offer it.
Your proposal or Service Agreement lists your package, monthly price and one-time build fee. Direct mail is an optional add-on billed directly by our mail partner. Bigger projects, like a redesign, are quoted first. We may change our tools as long as you still get what your package promises.
What we need from you
You agree to:
- Give us access to the accounts we need, like your Google Business Profile, ad accounts, social pages and domain.
- Answer approvals and questions promptly. Delays on your side can slow results, but they don’t pause your fees.
- Give us accurate information about your business, licenses and insurance.
- Send only content you have the right to use, and keep it truthful.
- Follow platform rules, like Google’s and Meta’s ad policies and verification.
- Contact your customers lawfully. Texts, calls and review requests from your accounts go out in your name. You’re responsible for your customers’ permission, opt-outs, do-not-call lists, quiet hours and any call-recording notice the law requires. Review requests must follow Google’s rules: no paying for reviews and no asking only happy customers. We may pause messaging we believe creates legal risk.
Ad spend, results and platforms
You pay ad spend directly to Google or Meta. Our fees cover management only. If we ever pay a platform charge for you by special arrangement, you’ll repay it.
We don’t guarantee results. No honest agency can promise specific rankings, leads, calls or revenue.
Platforms make their own calls on verification, ad approvals, suspensions, review removals and rankings. We’ll help, but those decisions are theirs. We also rely on tools like GoHighLevel, WhatConverts and Stripe, and we aren’t responsible for their outages or errors.
Fees and billing
- Monthly fee: billed in advance on your billing date, in U.S. dollars.
- Build fee: charged once, at the start, unless your proposal says otherwise.
- Automatic payment: through Stripe, by bank debit (ACH, preferred) or card. Your card or bank details go to Stripe over an encrypted connection, and Stripe stores them. We don’t.
- Bank (ACH) discount: paying by automatic bank (ACH) payment saves you 3% off the regular price. Your proposal or agreement shows both prices.
- Price changes: we’ll email you at least 60 days before a quarter ends, and the new price starts only with the next quarter. That leaves you time to cancel before the notice deadline if you don’t want the new price.
- Failed payments: Stripe retries automatically, and we’ll reach out. If a payment is still unpaid 10 days after its due date, we may pause services until it’s paid. We don’t charge late fees or interest. A pause doesn’t change your term or what you owe.
Payment authorization
By setting up automatic payment, you authorize Tree Guy Digital LLC to charge your card or debit your bank account on or after each billing date for your monthly fee, plus any build fee or extra work you approved, until your services end and your balance is paid. We’ll email you at least 7 days ahead if the amount or timing changes, unless you asked for the change.
For bank debits, you agree to be bound by the Nacha Operating Rules. You can revoke this authorization by emailing billing@treeguydigital.com at least 5 business days before the next payment. Revoking it doesn’t cancel your agreement, so we’ll ask for another way to pay.
Refunds
Refunds, including when the build fee stops being refundable, are covered in our Cancellation & Refund Policy.
Chargebacks
If a charge looks wrong, please contact us first. If you dispute a valid charge with your bank or card company instead, you still owe the disputed amount plus any dispute fee our payment processor charges us. We may pause services while a dispute is open. Repeated disputes without contacting us first may lead us to require bank payment or end the agreement for cause.
Term and automatic renewal
Your first agreement is 90 days. Then service runs on rolling calendar quarters: January–March, April–June, July–September and October–December. If your 90 days end partway through a quarter, service runs month to month until the next quarter starts.
Your package renews automatically into each new quarter at the same price, unless we’ve given notice of a change. There’s nothing to renew by hand.
Notice. To move up or down a package, or to stop your service, tell us at least 30 days ahead. The change takes effect on the first of these dates that’s at least 30 days after your notice: the end of your first 90 days, any day of the month-to-month stretch, or the end of a quarter.
Committed periods. Your first 90 days and each quarter are committed periods. Once one starts, you stay on your package for all of it, and its monthly fees are owed even if you stop early.
To cancel, follow the steps in our Cancellation & Refund Policy.
Ending for cause
Either of us may end the agreement if the other seriously breaks these Terms and doesn’t fix it within 15 days of written notice. We may also end it right away if a payment is 30 days overdue, your business is no longer registered or insured, or you ask us to do something unlawful or against platform rules.
If you end it because of our breach, you owe nothing for the rest of your committed period, and we’ll refund what you prepaid for days after your service ends. If we end it because of yours, the fees for the rest of that period are still due.
When we part ways
You leave with what’s yours. We never hold your business accounts hostage, even over a billing dispute.
- Google Business Profile: your own phone number goes back on it, and we remove our access or transfer ownership back to you.
- Google Ads and Local Services Ads: we pause campaigns, unlink our manager account, and remove our access and any payment method of ours.
- Facebook and Instagram: we remove our access to your page and ad account.
- Domain: if we hold it and you’re keeping it, we unlock it and send the transfer code. If not, we let it lapse.
- Website: backed up either way. Once you’ve completed your first 90-day agreement, the website is yours: we hand over the login and help transfer it to you. If your service ends before then, we archive it.
- Contacts: exported if you ask any time up to 30 days after your last day of service.
- Call-tracking number: ported to you where the carrier allows, or cancelled. Carrier porting fees are yours.
We also turn off automations like missed-call text-back and review requests, deactivate your help link, and close or move hosting. Included tools like Tree Guy University end with your service. Any balance you owe is still due.
Confidentiality and data security
We’ll keep your non-public business information, like your numbers, customer lists and logins, private and use it only to serve you. You’ll do the same for our non-public pricing and processes. This doesn’t cover information that’s public, already known, independently developed or legally required to be shared. These promises last beyond our agreement.
We use reasonable safeguards to protect your information. If a security breach affects it or your customers’ information, we’ll tell you promptly, as the law requires.
For your customers’ information in the tools we run for you, we act as your service provider and use it only to deliver your services. See our Privacy Policy. We won’t use your name, logo or testimonial in our marketing without your OK.
Who owns what
- Your business is yours: your brand, logo, photos, customer data, Google Business Profile, ad accounts and social pages. You let us use your materials only to do the work.
- Your website: it becomes yours once you’ve completed your first 90-day agreement. Until then, it comes with your service. Themes, plugins and stock images licensed from others follow their own licenses and may not transfer.
- Written content: page text and posts we write for your business are yours to keep using once paid for.
- Our tools stay ours: our templates, systems, software setups, training and know-how.
Recordings and AI
With your permission, we may record calls and video meetings, like onboarding calls and owner interviews, with tools such as Google Meet and Fathom. We may summarize them with AI, such as Anthropic’s Claude, to understand your business and write your content. We’ll ask before recording, and you can always say no.
Text messages from us
If you agree to texts from Tree Guy Digital, we may text you about your inquiry, appointments, account or services. We send marketing texts only if you’ve agreed to those too. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for help. Carriers aren’t liable for delayed or undelivered messages. You never have to agree to texts to buy from us. Our Privacy Policy explains how we handle your number.
Limitation of liability
Beyond the promises in these Terms and your proposal or Service Agreement, we make no other promises or warranties. Neither of us is liable for the other’s indirect losses, like lost profits or lost jobs. Our total liability for any claim related to our services is limited to the fees you paid us in the 3 months before the claim arose. These limits don’t reduce what you owe us, and they don’t cover fraud, intentional misconduct or anything else the law doesn’t let us limit.
Indemnification
You’ll defend and cover us against third-party claims arising from your content or business details, messages sent from your accounts, your work for your customers, or your breaking the law or these Terms, except to the extent our own mistake caused the claim.
We’ll do the same for third-party claims that content we created for you infringes someone else’s rights, or that arise from our breaking the law or these Terms.
Governing law and disputes
Florida law governs these Terms, and payments are due in Highlands County, Florida. We’ll each try to work things out by talking first. Any lawsuit must be filed only in the state courts in Highlands County, Florida, and we both agree to those courts’ jurisdiction. The winning side may recover reasonable attorney’s fees.
Jury waiver: you and we each give up the right to a jury trial in any dispute about these Terms or our services.
Changes to these Terms
We’ll post any update here with a new “Last updated” date. For current clients, a material change takes effect at the start of the first quarter that begins at least 60 days after we email you about it. That leaves you time to cancel before the notice deadline if you don’t agree.
The rest of the legal stuff
- Entire agreement. These Terms, our policies and your proposal or Service Agreement are our whole agreement. If they conflict, your signed proposal or Service Agreement controls.
- Severability. If part of these Terms is unenforceable, the rest still applies.
- Notices. We send notices to the email on your account. Send yours to billing@treeguydigital.com, or cancel any way our Cancellation & Refund Policy allows. Email counts as written notice, and electronic signatures count as signatures.
- Assignment. You need our written OK to transfer this agreement. We may transfer it if we sell or reorganize our business, and we’ll tell you if we do.
